Terms of Service
Version 1 · Updated October 6, 2026
These Terms of Service are an agreement between you and YaaFlip. YaaFlip is operated by Popcode Studio, LLC, a Georgia limited liability company, hello@yaaflip.com ("YaaFlip", "we", "us"). By creating an account, activating it, or using YaaFlip in any way, you agree to these Terms, to the Community Rules, the Yaa! Points Terms, the Video Policy and the Drop-off & Abandoned-Item Policy, which are part of these Terms, and you acknowledge the Privacy Policy and the Parent Consent Disclosures.
Please read them. They are written plainly on purpose, and the plain words are the agreement.
What YaaFlip is
YaaFlip is an invite-only marketplace where children trade toys and kids' gear they have outgrown, using Yaa! Points, with their parents in charge of every account. A child films a short video of a toy, a parent approves it, our safety screening checks it, and verified families nearby can watch it and claim it. The seller's family drops the toy off at a public drop-off spot, and the buyer's family collects it there. Families never meet, never message each other, and never share where they live, with one exception you choose yourself (porch pickup between real-world friends).
YaaFlip is a place for trading between families. We are not a party to any trade, we do not own, inspect, ship or hold the toys, and we do not guarantee any toy, any seller or any buyer. What we do is run the marketplace, the Yaa! Points ledger, the safety screening and the dispute rules described here.
Who may use YaaFlip
- An adult holds every account. You must be at least 18 years old and the parent or legal guardian of each child you add. You are the account owner, and everything done under the account — by you, by a second adult you add, or by any of your kids — is your responsibility.
- One adult, one household. Each adult login belongs to exactly one household account. A second adult may join your household only by your personal invitation, and must pass the same identity check you did. A parent whose children live in two households holds two separate accounts.
- Kids use YaaFlip through your account. A child never has a login, a password, an email address or a payment method. Kid profiles are switched to from your account and carry a username and an avatar, nothing else.
- Invite only. New accounts are created only with a single-use invite from an existing member. There is no public sign-up and no waiting list.
Activating your account
Before anyone in your household can see a listing, you complete activation:
- A card on file. We save a payment card through Stripe. Nothing is charged at this step.
- An identity check. You photograph a government ID and take a live face capture through our identity vendor, Didit. We keep only what the Privacy Policy lists and never receive or store the ID image itself. Every adult's verified name is checked against national and state sex-offender registries. If the check cannot be completed, activation waits; it never proceeds on a guess. A failed identity check costs you nothing.
- Your drop-off spots and settings. You choose the public drop-off spots your family will use, each within 20 miles of where you are at that moment, set how far beyond them your kids may browse, choose how your kids may spend points, and set a parent PIN.
- The activation purchase. You buy your first Yaa! Points — any whole-dollar amount of $5 or more — with the card on file. This purchase is how you give verifiable parental consent under the Children's Online Privacy Protection Act (COPPA) for us to collect the information from your children that the Parent Consent Disclosures describe. Activation never completes without it.
- Your kids' profiles. Only after that consent do you create a kid profile.
If any of these steps is not completed, your account is not active and nobody in your household can see or post a listing.
Your account and your PIN
- Keep your password private. Anyone who signs in as you can act as you.
- The parent PIN separates your kids from the parent-only parts of the app (points, approvals, settings). It is a convenience lock, not a security feature: it keeps kids out of the parent zone on a shared phone, and nothing more. Real-money actions and account changes also require your password.
- Tell us at hello@yaaflip.com at once if you believe your account has been used without your permission.
- You may not share, sell, rent or transfer an account, create an account for someone else, or use another person's identity or payment card to activate.
Your kids on YaaFlip
- YaaFlip is designed for children to use with a parent nearby, on the parent's own account. We encourage supervision, and we make it easier: the kid side of the app renders no links to the rest of the internet, and we show you how to lock a phone to YaaFlip using Apple's Guided Access or Android's app pinning. We do not lock your device — Apple's and Google's features do that, and anything outside YaaFlip is governed by your own device settings, not by us.
- Your kids' usernames are chosen by them and screened before they are saved: G-rated, and never a real last name. Usernames do not have to be unique.
- You approve every listing before it is reviewed, and you can require your approval of every purchase ("ask me first").
- You are responsible for every listing your kids post, every claim they make and every trade they complete.
Yaa! Points
Yaa! Points are a closed-loop credit for trading on YaaFlip. One point costs one dollar, points are never redeemable for money, never transferable outside your household, and have no cash value. Points you buy land in your family wallet; you hand them to your kids. The full rules, including what happens to points when an account closes, are the Yaa! Points Terms.
Listings and trades
- One video, one title, one price. A listing is a video of at most 60 seconds, a title and a price of 1 to 5 Yaa! Points. Everything a kid posts goes through parent approval, then our screening, before anyone can see it. A listing stays live for 30 days and can be re-listed.
- Claims are first come, first served. Claiming a toy moves the buyer's points into escrow at once.
- The seller has 3 days to drop the toy off at a drop-off spot the listing offers, in a bag labeled with the trade's two-word pickup code, and to record proof of drop-off: the phone's location at the drop-off spot and a photo of the labeled bag. The seller is paid the moment that proof lands. If the deadline passes, the buyer is refunded automatically and the miss counts against the seller's reliability record.
- The buyer has 14 days to collect it. The pickup code is revealed only on a phone that is physically at the drop-off spot; revealing it is the pickup. For 15 minutes after revealing the code, the buyer may report "It's not here": the buyer is refunded at once, the seller's payment stands, and a strike is recorded against the seller. After 14 days the trade closes and the Drop-off & Abandoned-Item Policy applies.
- A seller's parent may cancel a sale before the drop-off, for a reason chosen from a list. The buyer is refunded at once. Cancelling counts in the seller's reliability record exactly like a missed drop-off, but is never a strike.
- Reliability. We track each seller's record of drop-offs made on time, using a weighted, recency-sensitive measure, and we act on it: a warning when the record turns poor, new listings paused while it stays poor and until pending drop-offs are complete, and, for a seller who keeps flaking, review of the household by a person. A seller may have at most 5 claimed-but-not-yet- dropped-off toys at a time.
- Porch pickup is available only between families whose children are confirmed friends on YaaFlip, only when the selling family has opened its porch, and only within the distance the buying family set. The seller's address is shown to the buying family's parent, for that trade only, and is deleted when the trade ends.
- Trades are between families. Toys are used items traded as they are. We make no promise about any toy's condition, safety, value or suitability, and we are not liable for any toy. When a trade goes wrong we settle it with Yaa! Points under the rules above, and that is the only remedy YaaFlip provides.
Invites and friend codes
- Invite codes and friend codes are three simple words. Hand them only to people you know in the real world, locally, and never post or share them on the internet. This is an obligation of these Terms, not a suggestion.
- Invites are single-use and expire after 7 days; you may hold at most 30 active invites. Friend codes are single-use, expire after 7 days, require both families' parents to confirm, and require the redeeming family to be local (its phone's location, its network, and a drop-off spot within the families' browse distance). Every attempt to redeem a code is rate-limited and recorded with the device's network address and details, for abuse investigation only.
- Before a friendship is confirmed, we warn both families every time: a stranger online claiming to be a friend is exactly what friend codes are designed to stop.
Drop-off spots and hosts
Drop-off spots are public places — libraries, shops, community centers, churches — run by hosts who agree to the Host Terms. A host holds a labeled bag and hands it to whoever says its two words; a host never learns who a family is. Hosts are independent of YaaFlip; they are not our agents or employees, and we are not responsible for a host's premises or conduct. A host may pause or close a drop-off spot; when that happens we extend the deadlines of trades already under way and tell both families.
Our safety powers
YaaFlip exists so that children can trade safely. To keep it that way, we may at our discretion and without prior notice:
- Remove or hide any listing, video, title, username or avatar, at any time, for any reason we consider necessary to keep YaaFlip safe for children, including after it has been approved and published. A listing reported by another family is hidden immediately, before anyone reviews it.
- Freeze a trade that is under review, pausing its deadlines, and then settle it: either letting it continue with the frozen time credited back, or refunding the buyer and recording a strike against the seller.
- Record strikes against a household for disputes it loses and for listings we take down.
- Warn, pause, suspend or permanently close a household's account for repeated or serious violations of these Terms or the Community Rules by any member of the household, adult or child. Three standing take-down strikes pause a household automatically while a person at YaaFlip reviews it. Closing an account for good is always a person's decision, never automatic. A closed account's listings are taken down, its invites and friend codes revoked, its friendships ended and its pending purchases refunded; its Yaa! Points remain in the account and cannot be used or redeemed.
- Refuse, pause or end any account whose identity check, payment or conduct we cannot verify or trust.
The parent who owns the account is responsible for every listing their kids post and for every trade under the account. We will tell you when we take any of these actions and, where we can, why. You can ask us to look again by writing a note from the trade in the parent zone (Safety & support) or at hello@yaaflip.com. Some disputes about strikes may be decided by a small panel of verified neighbors, as the Community Rules describe; the panel never sees a family's name and never decides anything about safety.
Automated systems and people
We use automated systems, including AI models, to screen usernames, titles and videos before they are visible, to check identities and registries, and to help answer support requests. A person reviews anything the automated screening flags, and a person makes every decision to close an account. When you write to us about a trade, an automated assistant may draft or send the first reply and may resolve simple matters using the same tools our staff use; reply "not solved" and a person will look. We never let an automated system decide a safety matter on its own.
Your content
You keep ownership of the videos your kids record and the titles they write. You give YaaFlip a license to store, screen, transcode, stream and display them to the families the listing reaches, and to our staff and reviewers for safety purposes, for as long as the listing exists and the retention periods in the Video Policy allow. We never make a listing video public, never use it for advertising, and never use it to train AI models.
Things you may not do
- Use YaaFlip for anything other than trading toys and kids' gear between families.
- Post anything that locates a child: a last name, a school, a street, a house number, a uniform.
- Post anything that is not G-rated, is not a kid's own belonging, or is unsafe to trade.
- Attempt to contact another family outside YaaFlip because of something seen on YaaFlip.
- Falsify a location, a drop-off proof, a pickup or a dispute.
- Create multiple accounts, share accounts, or activate with someone else's identity or card.
- Scrape, record, download, redistribute or publicly show any listing video.
- Interfere with the service, its safety screening, its rate limits or its containment of the kid zone, or attempt to access another family's data.
The escape challenge
We publish a standing offer: lock a phone to YaaFlip in lockdown mode, hand it to your kid, and if your kid finds a way out of YaaFlip to the rest of the internet, we grant your household 100 Yaa! Points. The escapee must be a child, the escape must be reported to us with enough detail for us to reproduce it, and the points are granted once per distinct escape at our reasonable judgment.
Ending your account
- You can delete your household account from Payment & account in the parent zone, after confirming your password. Deletion is immediate and permanent: your adults' logins, your kids' profiles, usernames, avatars and videos are removed, and your Yaa! Points are forfeited. We refuse deletion while any trade of yours is still under way; finish or cancel it first. The records of completed trades and point movements are kept as described in the Privacy Policy.
- You can remove a single kid profile from Household members, with the same safeguards. That kid's points move to your family wallet.
- We may close your account as described under Our safety powers.
Changes to YaaFlip and to these Terms
YaaFlip changes often. We may add, change or remove features at any time. When these Terms or any document that is part of them change in a way that matters, we will email the account owner before the change takes effect and show the new version and date on the Legal page; continuing to use YaaFlip after that date is acceptance of the new version. Every version is dated and numbered.
Disclaimers
YaaFlip is provided as it is and as available. To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability and non-infringement. We do not warrant that any identity check, registry check, screening or other safety measure will catch every risk; they are measures we take, not guarantees of outcome. Nothing in these Terms limits any right you have under law that cannot be limited by contract.
Limitation of liability
To the fullest extent the law allows, YaaFlip and its owners, employees, contractors, hosts and vendors are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of toys, points, data or goodwill, arising from your use of YaaFlip or from any trade, drop-off spot or other family. Our total liability for any claim arising from YaaFlip is limited to the amount you paid us for Yaa! Points in the twelve months before the claim, or $100, whichever is greater.
Indemnity
You agree to defend and hold YaaFlip harmless from claims, losses and expenses (including reasonable attorneys' fees) arising from your household's breach of these Terms, your household's listings or trades, or your household's violation of any law or of anyone's rights.
Governing law and disputes with us
These Terms are governed by the laws of the State of Georgia, without regard to its conflict of laws rules. If you have a dispute with us, email hello@yaaflip.com first and we will try to resolve it with you. Any dispute we cannot resolve that way will be brought only in the state or federal courts located in DeKalb County, Georgia, and you and we consent to their jurisdiction.
Everything else
These Terms and the documents they include are the whole agreement between you and YaaFlip about YaaFlip. If any part is found unenforceable, the rest stands. We may assign this agreement to a successor that takes over YaaFlip; you may not assign it. Our not enforcing a term is not a waiver of it. Notices to you go to the email address on your account; notices to us go to hello@yaaflip.com.
